A. Memberships – Full, Reduced and Loyalty

SWAT UK offers both a comprehensive Full Membership group scheme, and a similar Reduced Membership scheme, which provide everything you need to keep your firm compliant, efficient and profitable. The cost of the Membership is dependent on the number of principals, consultants and technical staff within the firm (known as Training Individuals), and is paid for by monthly direct debit.

Full Membership includes the following entitlements:

  • Unlimited training* for your principals and staff (known as Trainable Individuals) at any SWAT UK public training courses, our live webinars, and webinar recordings. This includes CPD courses, technician courses, staff workshops and student workshops.
  • On-site support days covering compliance, efficiency, practice management and in-house training. The number of support days included depends on the number of your Trainable Individuals.
  • Unlimited access to our Technical Queries helpline for Money Laundering, Audit and Accounts queries, for queries that can be fully dealt with in 30 minutes, including documenting the query and emailing the answer to you (Full Membership only).
  • Access to SWAT UK’s unique Professional Indemnity Insurance scheme, run through Lockton, subject to underwriter acceptance.
  • Discounts on all SWAT UK online manuals. These include our Practice Assurance Manual (ICAEW) or the General Practice Procedures Manual (ACCA).
  • Regular technical newsletter.

Training included within the Membership excludes attendance on SWAT UK's Certificate in Probate and Estate Administration courses, webinars or assessment days; and any residential or specialist conferences (such as Carlyon Bay, our charities conferences or agricultural conference).

Reduced Membership

Firms that choose SWAT UK’s Reduced Membership receive the same benefits as a Full Member with the following exceptions:

  • The number of days of on-site support included still depends on the number of your Trainable Individuals (TIs), but is fewer than you would receive on a Full Membership for the same number of TIs.
  • All access to our Technical Queries helpline will be billed at SWAT UK’s normal rate, in 15 minute units, with a minimum charge of 30 minutes.

Training Individuals

The cost of your Full or Reduced Membership is based on the number of Trainable Individuals (TIs) you have, defined as the principals, consultants  and technical staff who undertake chargeable work for clients. Administrative staff and secretaries are not counted as TIs. Depending on their role in the firm, we may agree to exclude certain other individuals as well.

Full-time staff are counted as a single TI, but staff who are contracted to work less than 20 hours per week count as ½ TI.

You undertake to provide SWAT UK with a complete list of all the TIs in your firm as at 1 December each year, which will form the basis of your Membership for the following calendar year.

Membership is only available to firms with a minimum of 4 TIs.

Entering into a SWAT UK Membership implies acknowledgement of the paragraph above and agreement to SWAT UK’s right to invoice for additional principals and technical members of staff if it subsequently becomes clear that, at the time of making the initial declaration of principals and technical staff, one or more individuals was omitted from the list.

Training Individuals are not restricted to attending courses in particular venues/webinars, nor is any restriction placed on the number of those staff from any firm attending each course, provided there are places available at the time of booking.

Use of services

Your Full or Reduced Membership is for an initial period up to the following 31 December, and then for each calendar year.

All on-site support days must be used within that period or they will be lost. The number of support days allocated to a particular visit will depend on the precise nature of the visit and will be agreed in advance of any visit. If not required for on-site visits, your support days can be swapped for access to other services, such as an in-house training course or access to the MLRO Support Service (details on application). Unused support days will only be carried forward into the following membership year in exceptional circumstances and at SWAT UK’s sole discretion.

We will write to you annually in November to provide you with details of the costs for the forthcoming year based on your current Membership and number of TIs. We will provide you with a new Consultancy Letter of Engagement, and a list of your current TIs and their roles. You undertake to sign and return a copy of the Letter of Engagement and return it to us with an updated list of your TIs as at 1 December. SWAT UK will not finalise any course bookings or any training in a given year until the firm has completed and returned the relevant list of Trainable Individuals for that year.

Changes to your Membership

Subscribers must notify SWAT UK in writing, or by email with a read receipt, of any changes that they wish to make to their Membership during the year.

Joiners to the firm can be added as new Trainable Individuals without cost** during the year, but must be included in the list of TIs for the following year if they are still in employment at 1 December. They will then have access to all public courses and live and recorded webinars. Leavers should be notified to us with the date of leaving, but no rebate will be given.

** If a Member firm significantly increases the number of its Trainable Individuals within any calendar year as a result of merger or acquisition, then SWAT UK may, at its sole discretion, give one month’s notice in writing of an increase in the subscription for the remainder of the year. The increase will be calculated based on the number of additional TIs on a pro-rata basis until 31 December. This additional subscription will be collected by monthly direct debit over the remaining period of the Membership.

Non-attendance policy

Out of courtesy to other clients, please notify us in writing or via an email with a read receipt within 10 working days of a course running, if you or any of your staff are unable to attend a public course or a live webinar they have previously been booked on.

We appreciate that from time to time it may not be possible to attend every course that you have booked. However, in the past, some member firms have block booked places on courses but not attended, thereby denying other member firms or clients from attending. As a result, where individuals on a Membership are booked to attend 10 or more courses but fail to attend 50% or more, and do not give us written confirmation at least 10 working days before the course(s) they are cancelling is scheduled to run, SWAT UK reserves the right to charge the firm a cancellation fee equal to half of the published course fee for non-member firms.

Loyalty Members

Both Full and Reduced Members are classed as Loyalty Members after 5 full years of Membership, and then receive a 5% discount on their Membership fees.

Discounts

Full and Reduced Members are entitled to the following discounts on other SWAT UK products and services:

  • 10% discount on additional on-site support days, including hot file reviews and high risk / specialist hot file reviews. Also on hourly consultancy rates, and Technical Queries in excess of 30 minutes.
  • 10% discount on off-the-shelf in-house courses.
  • 10% discount on many SWAT UK online manuals and documentation.

Firms with more than 50 Trainable Individuals pay half the rate paid for the first 50 for each Trainable Individual in excess of 50. The number of support days is capped at those applicable to a firm with 50 Trainable Individuals.

Payment Terms

Payment for your Membership is by direct debit, collected monthly in advance on the 1st of each month, beginning at the start of your Membership, and then in January in each subsequent year. SWAT UK reserves the right to suspend services in the event of default on any payments and to take appropriate action to collect any outstanding amounts.

Invoices will be raised for any additional work not covered by the Membership agreement, payable within our normal terms. Payment terms 

Neither Full nor Reduced Members are charged travelling or accommodation expenses or travelling time for on-site support days or in-house courses delivered by SWAT UK personnel. The expenses of external lecturers may be charged. All additional charges will be agreed with you at the time of booking.

You undertake not to supply or otherwise make available details or copies of SWAT UK’s documentation, manuals, courses, brochures, surveys or any other literature or information we supply to you, or transfer or assign any of the rights or benefits of Membership of SWAT UK to any other firm except with our specific written authorisation. Cancellation

If you wish to cancel your Membership, 6 months’ notice of cancellation must be given in writing to SWAT UK. Unless the cancellation takes place at 31 December in any year, an adjustment will be made in respect of excess or under-used consultancy days relating to the membership. SWAT UK undertakes to give you notice of cancellation of the Membership, or any changes to the entitlements included in it, no later than 30 September in any given year, in which case the cancellation or changes shall apply from the following 1 January.

In the event that a member firm breaches any of the conditions of Membership, SWAT UK will contact the firm to seek to remedy the breach. After 14 days, if the breach is not remedied, SWAT UK may exclude the firm from Membership benefits or cancel the Membership without further notice.

B.     Bespoke Membership

SWAT UK offers a Bespoke membership, tailored to your firm’s requirements for training and compliance, as well as your budget. Typically, a Bespoke membership involves purchasing a portfolio of entitlements which may include:

  • Training and development for your principals and staff, by buying either a Training Subscription for unlimited access to courses and/or webinars, or a block of course credits at discounted rates.
  • On-site support days covering compliance, efficiency, practice management and in-house training.
  • Access to SWAT UK’s Technical Queries helpline for Money Laundering, audit and accounts queries for a specified number of hours.
  • Purchase of manuals from our range of in-house publications, such as the Practice Assurance Manual (ICAEW), the General Practice Procedures Manual (ACCA) or the ICAEW AML systems.
  • Access to the MLRO Support Service.

Bespoke membership is restricted to a portfolio costing at least £2,000.

Training Individuals

Some entitlements of a Bespoke membership portfolio are related to the number of individuals in your firm, known as Trainable Individuals (TIs), defined as the principals, consultants and technical staff who undertake chargeable work for clients. Administrative staff and secretaries are not counted as TI's. Depending on their role in the firm, we may agree to exclude certain other individuals as well. 

You declare the names of your TIs as at the date your contract commences or renews and that declaration fixes your price for the year. All individuals are charged as one Trainable Individual irrespective of whether they work full time or part time.

Entering into a SWAT UK Membership implies acknowledgement of the paragraph above and agreement to SWAT UK's right to invoice for additional principles and technical members of staff if it subsequently becomes clear that, at the time of making  the initial declaration of principles an technical staff, one or more individuals was omitted from the list. 

Use of services

Your Bespoke membership covers any period of 12 months, starting on the 1st of the month.

All entitlements must be used within that period, with the exception of course credits which must be used within 24 months of the commencement of the Bespoke membership. Should any other entitlements not be used in the membership period, they will be lost. Unused entitlements will only be carried forward into the following membership period in exceptional circumstances at SWAT UK’s sole discretion.

We will write to you annually in the last two months of your membership to provide you with details of the costs for the forthcoming year based on your existing portfolio and any known changes, together with any amendments to our terms and conditions. We will also provide you with our recommended portfolio for the most cost effective approach to your training needs, based on your previous year’s usage. You may make changes to your portfolio at the renewal time.

Changes to Bespoke membership

Subscribers must notify SWAT UK in writing, or by email with a read receipt, of any changes that they wish to make to their bespoke membership during the year. If the firm wishes to make changes in respect of an entitlement based on the number of Trainable Individuals during the year, there is no administration fee but you must advise us of the changes so that your new staff can access the online training. Joiners will be added as 0 TI. At renewal time, you will be sent a complete list of TIs to assist you with next year’s declaration. If you wish to cancel a TI from the Training Subscription during the year, no rebate will be given.

Non-attendance and Fair Usage policy

Out of courtesy to other clients, please notify us in writing or via an email with a read receipt within 10 working days of a course running, if you or any of your staff are unable to attend a public course or live webinar they have previously been booked on.

We appreciate that from time to time it may not be possible to attend every course that you have booked. However, in the past, some member firms have block booked places on courses but not attended, thereby denying other member firms or clients from attending. SWAT UK also operates a fair usage policy for our Training Subscriptions. The aim of the subscription is to enable firms and individuals to meet all their training needs within the fixed monthly payment. Unfortunately, a very small number of clients abuse the unlimited nature of the package. If a client’s usage is excessive, unfair or affects other clients’ enjoyment of our training we will first raise our concerns with that client. However, in extreme cases we reserve the right to increase the subscription charge for the firm or individual or to cancel the subscription.

C.  Training Subscriptions

SWAT UK offers a range of Training Subscriptions that offer unlimited access to different types of courses, as follows:

  • Per Person Training Subscription – giving unlimited access to all public CPD courses held in all our venues across the country. This does NOT include webinars or webinar recordings, or staff or student workshops. Firms can select which staff are included in the Per Person Training Subscription. 
  • Firm-wide Training Subscription – giving unlimited access for your principals and staff (known as Trainable Individuals) to all SWAT UK public training courses, our live webinars, and webinar recordings. This includes CPD courses, technician courses, staff workshops and student workshops. All professional staff, defined as all principals, consultants and technical staff who carry out any chargeable client work, must be included in this subscription (regardless of training needs). Administrative staff and secretaries are not counted as TIs. Depending on their role in the firm, we may agree to exclude certain other individuals as well. Part time staff will be counted as being full time for the purposes of your subscription.
  • Firm-wide Webinar Training Subscription - giving all staff unlimited access to all live and recorded webinars. This does NOT include attendance on public training courses. All professional staff, defined as all principals, consultants and technical staff who carry out any chargeable client work, must be included in this subscription (regardless of training needs). Administrative staff and secretaries are not counted as TIs. Depending on their role in the firm, we may agree to exclude certain other individuals as well. Part time staff will be counted as being full time for the purposes of your subscription.

Entering into a Firm-wide Training Subscription or a Firm-wide Webinar Training Subscription implies acknowledgement of the conditions above and agreement to SWAT UK’s right to invoice for additional principals and technical members of staff if it subsequently becomes clear that at the time of making the initial declaration of principals, consultants and technical staff, one or more individuals was omitted from the list.

Payment Terms

SWAT UK’s Training Subscriptions are only available on a 12 month contract. Payment must be made by direct debit by paying the full amount either at the start of the subscription period or spread over twelve consecutive months.

Where monthly payments are applicable, the direct debit is collected monthly in advance on the 1st of each month, beginning with the first month of the agreement. We reserve the right to suspend services in the event of default on any payments and to take appropriate action to collect any outstanding amounts.

Invoices will be raised for any additional work not covered by the training subscription under our standard terms.

D. Course Credits

Course credits can be used by any principal or employee of your firm on any SWAT UK courses at any of our venues, and on all webinars and webinar recordings. There are no limits to the number of course credits that can be used on any one course, subject to places being available.

Course credits are valid for CPD courses, technician courses, staff workshops and student workshops. This includes SWAT UK's Certificate in Probate and Estate Administration courses, webinars or assessment days and our residential and specialist conferences (e.g. Carlyon Bay, charities and agricultural conferences). 

However, they are not valid for any in-house courses. 

Use of services

The SWAT UK website and our Courses brochures provide details of the number of credits required to attend an individual course or workshop, both public courses and live and recorded webinars.

Course credits are valid for 24 months from the date of purchase (or from the commencement of a Bespoke membership agreement). They must be used against courses running (or webinar courses available on the SWAT UK website) in that 24 month period. Unused course credits cannot be carried forward and refunds cannot be issued.

Course credits may be transferred between public courses, webinars and webinar recordings. We must be notified of transfers in writing or by email with a read receipt at least 10 working days in advance of the course.

Discounts

Block bookings of course credits include discounts of up to 50%, depending on the number purchased. The discount rate applied to each block of course credits purchased will depend on the size of that block and not the total amount of credits purchased by the firm. Payment terms

Payment for blocks of course credits must be made in advance at the time of purchase. However, if course credits form part of a Bespoke membership, then payment is part of the membership subscription, payable by 12 monthly direct debit payments over the period of the membership.

Additional course credits

If you have insufficient credits remaining, for the courses you wish to book, additional credits may be purchased and paid for as follows:

  • When a further block of course credits is purchased, full remittance must accompany the booking. The discount rate applied depends on the size of that block purchased. The credits are valid for 24 months from the date of purchase.
  • However, if course credits form part of a Bespoke membership, your existing season ticket will be enhanced with additional course credits at the same initial cost. This additional cost will be taken via direct debit over the remainder of the membership. As with the original course credits, the additional credits purchased are valid for 24 months from the commencement of the agreement.

Alternatively, full payment may be made for attendance on the individual course.

E. Money Laundering Reporting Officer Support Service

SWAT UK offers an annual Support Service for Money Laundering Reporting Officers, designed to ensure that your firm remains compliant with the Money Laundering regulations. It provides you with all the anti money laundering training and support you need to train your staff (and keep them up to date) and implement the required anti money laundering procedures with ease.

Use of services

Your Money Laundering Reporting Officer Support Service covers a period of 12 months, starting on the 1st of the month.

We will write to you annually in the last two months of your subscription to provide you with details of the cost of the service for the forthcoming year.

Subscription Benefits

During the period of your subscription, all of your staff have unlimited access to the following online Anti Money Laundering courses which are available to watch on-demand:

In order for a member of your staff to access these courses you will need to ensure that he or she is set up on our database.

 

Access to the Anti Money Laundering Procedures Manual

You will have access to the online Anti Money Laundering Procedures Manual throughout the period of your subscription. An online product, the manual is updated as and when changes occur.

Telephone support on Anti Money Laundering queries

You are entitled to 2 hours of free telephone support on Anti Money Laundering queries. All Anti Money Laundering technical queries will be recorded using 15 minute time units, with the minimum charge for any query being 30 minutes. We will email you written confirmation of any advice given.

Access to our Technical Queries helpline in excess of 2 hours will be billed at SWAT UK’s normal rate, in 15 minute units.

Your entitlement to 2 hours of telephone support on Anti Money Laundering queries must be used within the period of your subscription. If you do not use all this time allocation, then it will be lost. Click here for further details about our Technical Queries service.

Anti Money Laundering Newswires

You will receive a monthly email newswire featuring answers to a range of queries asked during the previous month, on an anonymous basis, together with a 6-monthly summary of the key changes during the period.

SWAT UK’s duty to report under the Anti Money Laundering Regulations

Under the anti money laundering regime, SWAT UK falls within the regulated sector and will have to report to the National Crime Agency any specific information disclosed to us during any conversations if it amounts to knowledge or suspicion of money laundering. However, we are relevant professional advisers under the regulations and as such must not report knowledge or suspicion obtained in privileged circumstances. Technical queries usually seek advice about the legal position under the Money Laundering Regulations, Proceeds of Crime Act or Terrorism Act, and such queries are treated as being received in privileged circumstances.

Payment Terms

Payment for the MLRO Support Service is due in full at the start of the subscription or in advance of the renewal date. SWAT UK’s normal payment terms are payment by credit card. Alternatively you can send a cheque, although the service will not normally commence or be renewed until the cheque is cleared.

Full and Reduced members are entitled to discounts on the cost of the MLRO Support Service. The MLRO Support Service may be included in a Bespoke membership. Full, Reduced and Bespoke members can pay for the cost of their membership by direct debit monthly over the course of their membership.

In other cases, if we hold a current direct debit mandate for you, we will take your subscription by direct debit on or around the date of renewal.

We will raise an invoice for any additional work undertaken, such as an Anti Money Laundering Compliance Review or Technical Queries in excess of the 2 hour allowance.

Cancellation

Notice of cancellation by either party must be given in writing no later than one month prior to the end of the current subscription.

In the event of not renewing your subscription, you will be responsible for paying for any subsequent bookings on Anti Money Laundering courses, obtaining access to the Anti Money Laundering Procedures Manual or for access to our Technical Queries helpline. You will be removed from the circulation list of the Money Laundering newswires. Any unused TQ support time will be lost.

Agreement to Terms and Conditions

Payment of your MLRO Support Service subscription is confirmation that you agree to these terms and conditions for the next 12 months.

Maintenance of your client record on the SWAT UK database

F.Public courses and Webinars (live and recorded)  

SWAT UK offers a wide range of courses both at public venues and as webinars to enable all clients to keep their staff up to date, in both general practice and more specialist areas.

  • CPD courses run at public venues across the country and as both live and recorded webinars;
  • Technician courses are offered as both live and recorded webinars;
  • Staff workshops are offered as both live and recorded webinars;
  • Student workshops are held at our London venue.

Booking details      

All public courses, live webinars and recorded webinars must be booked in advance. Bookings may be made online on the SWAT UK website www.swat.co.uk, by emailing courses@swat.co.uk, or by telephoning 0845 450 5555. You are advised to book early, as places are limited on all courses and bookings are taken on a strictly first come, first served basis.

On receiving your booking, or when the course has been confirmed as proceeding, we will send you a confirmation by email advising you of the date, time and (for public courses) the location of the course. Note that the confirmation email which is sent automatically via our website does not guarantee that a place is available.

Where courses are full, we may choose to run an additional session subject to numbers warranting such action. We will add you to a waiting list, although this does not guarantee you a place on the course. A confirmation will be sent should a place become available.

If you have not received confirmation of your booking one week before the course or webinar is due to run, please telephone us to make sure it has been received. Variable postal conditions and/or problems with different email systems might delay your application or joining instructions.

We reserve the right to cancel, or make changes to, any event shown without prior notice. In the event of our cancelling or postponing a course or workshop, our liability will be limited to a full refund of the amount paid for the course.

Payment         

All public courses and webinars are free to SWAT UK Member firms (click here for exclusions).

Firms that purchase a Training Subscription have free access to public courses and/or webinars, depending on the subscription package purchased (click here for exclusions).

Firms may purchase Course Credits which provide a discount of up to 50% on the full course fees, depending on the number of credits purchased.

In all other cases, remittance for course fees and VAT should accompany your booking for all courses.

Other discounts are available as follows:

  • 50% discount for the second and subsequent person in your firm to watch the same live webinar or the same webinar recording (see below for details).
  • 50% discount off the full course price for ICAEW members and staff from a firm with an ICAEW member to book live webinars and webinar recordings.
  • 50% discount off the full course price on all courses  for ATT individual members.
  • Members of CPA Australia and Chartered Accountants Australia and New Zealand are eligible to purchase course credits at our lowest rate, thereby also enjoying a 50% discount  off the full course price.
  • 50% discount off the full course price for ICAEW Chartered Accountants South West members and staff from a firm with an ICAEW Chartered Accountants South West member to attend public courses within the ICAEW Chartered Accountants South West area ( i.e. Yeovil, Taunton, Exeter, Plymouth & Fraddon), in addition to live webinars and webinar recordings as above.

Cancellations

If we need to cancel a public course or a live Webinar, the cancellation will be notified at least five days prior to the date of the course, except in exceptional circumstances such as the illness of the lecturer.

If you are unable to attend a course, the cancellation must be made in writing or via an email with a read receipt. No refunds are given for cancellations made by delegates within 10 working days of a course.

We appreciate that from time to time it may not be possible to attend every course that you have booked. However, where individuals from a member firm, or a firm with a Training Subscription, are booked to attend 10 or more courses, yet they fail to attend 50% or more, and do not give us written confirmation within 10 working days of the course(s) that they are cancelling, SWAT UK reserves the right to charge the firm a cancellation fee equal to half of the published course fee.

Public courses

Course documentation is only provided to those who book to attend the event concerned. Those who do not attend a course for which they have booked will be sent an electronic copy of the notes for their sole use. Where the copyright in the course documentation is owned by a third party, such as an external lecturer, we can only provide course documentation with that third party’s explicit permission.

Tea, coffee and biscuits are provided during the breaks of all public courses. Delegates with special dietary requirements are requested to advise us of their needs as soon as possible.

SWAT UK cannot be held responsible for any personal belongings brought to or left at any course venue.

Webinars

The standard cost of a webinar as shown on this website or in our brochure is the cost of the first person from the firm booked on the session, and entitles only that person to watch the session. If more than one person will watch the session (either by sharing a screen or logging in separately) then all subsequent bookings (for the same firm on the same event) are charged at 50% of the full price.

All individuals watching the session must be booked on the course. Any firms letting individuals watch a webinar without booking are breaching SWAT UK’s terms and conditions.

These conditions apply to webinar recordings as well as live webinars. A live webinar and its subsequent recording are treated as separate events for the 50% discount for subsequent delegates.

Course documentation is only provided to those who book to view the webinar concerned. Where the copyright in the course documentation is owned by a third party, such as an external lecturer, we can only provide course documentation with that third party’s explicit permission.

Notes for live webinars will be made available to download from the “My Account” area of the SWAT UK website, prior to the webinar taking place.  Notes for webinar recordings will be available to download from the SWAT UK website directly, at the time of watching the recording (subject to the approval of each course writer). Printed copies of notes are not supplied for either live webinars or webinar recordings. They are however available to download, allowing the individual user to save and/or print them.

Member firms and firms with Training Subscriptions may only book live webinars that run in the subscription period. However, you may watch recorded webinars after the end of the subscription period if:  

  • they were available on the website during the subscription period; and
  • they were booked during the subscription period.

In general, recorded webinars are made available on the website approximately 10 working days after the live recording. They remain available until the end of the calendar year following the year in which they were recorded, although SWAT UK reserves the right to remove webinars that, for whatever reason, are deemed to be no longer valid.

Member firms and firms with Training Subscriptions that book excessive numbers of recorded webinars to watch after the end of the subscription period will be subject to our fair usage policy. SWAT UK webinar recording player

SWAT UK has produced the SWAT UK Recordings App which is free of charge to download. This allows you to watch your recorded webinars by streaming them when you have an internet connection, or downloading them to watch offline at other times, eg when travelling.

There are versions of the app for:

  • iOS (iPad and iPhone)
  • Mac (computer)
  • Android (tablet and phone)
  • Windows (computer, tablet and phone).

Webinar recordings are booked through SWAT UK and paid for in the normal way (free to Member firms and those with Training Subscriptions). You will need an internet connection to establish which recordings have been booked and you are entitled to watch.

Everyone using the app to view a recording must have been booked on that recording. It is a breach of these Terms and Conditions to allow anyone who is not booked with SWAT UK to watch a recording. The usual discounts are available for subsequent delegates from the same firm watching the same recording.

You may start to watch recorded webinars via the app, whether streamed or downloaded, at any time, (unless it has been removed from the SWAT UK website), and they are available to view for 14 days from the start of viewing.

Notes for webinar recordings are available to download from the app directly, at the time of watching the recording (subject to the approval of each course writer). Printed copies of notes are not supplied but are available to download, allowing the individual user to save and/or print them.

Ability Impairment

Delegates with ability impairment who may require specific adjustments to be made are requested to advise us before the course is due to be held.

Photography and Videography at Public Courses

In addition to our public course programme, many of SWAT UK’s “off the shelf” courses can be delivered to you in-house. Should you require a course specifically tailored to your needs, this can be agreed with you at an additional cost. Our courses can also be incorporated into a conference programme.

Use of services

Our operations team will agree with you a suitable date, topic, lecturer and venue, and will discuss what equipment, if any, will be required. We can either supply you with a PDF of the course notes for you to produce your own material, or we can print and courier notes to you at an additional cost.

Cost

There is a standard fee for ½ day and full day in-house courses with a SWAT UK lecturer. Different external lecturers charge different rates, which may incur an additional cost for the course. Expenses are charged in addition to the agreed fee for all in-house courses. The overall fee for the course, including any expenses, will be agreed with you at the time of booking.

SWAT UK Members and Bespoke members may use their consultancy day entitlements to purchase in-house courses. Typically a ½ day in-house course will require a full day’s consultancy entitlement using a SWAT UK lecturer, but there may be an additional charge for an external lecturer. Alternatively, SWAT UK Full and Reduced Members purchasing in-house courses receive a 10% discount on the standard fee. 

Full and Reduced Members and Bespoke members are only charged expenses for external lecturers.

Specifically tailored courses require additional preparation time and will therefore incur additional costs, which will be agreed with you at the time of booking. Again, membership entitlements may be used to purchase these courses.

Charges additional to those included in a Full or Reduced Membership  or a Bespoke package will be collected via the direct debit mandate held.

Course documentation

Course documentation can be emailed to you in PDF password protected format. This allows you to view and print copies of the material for your course or conference delegates. However you are not able to copy and paste the text.

Notice and Cancellation periods

If SWAT UK has to cancel or postpone an in-house course, the cancellation will be notified to you at least 5 working days prior to the date of the course, except in exceptional circumstances such as the illness of the lecturer.

If Full, Reduced or Bespoke members using entitlements for an in-house course cancel a confirmed course with less than 2 working days’ notice, the support time will not be reallocated.

In other cases, if an arranged course is cancelled with less than 5 working days’ notice, SWAT UK reserves the right to charge a cancellation fee at 50% of the agreed fee.

If a tailored course, whether for members or otherwise, is cancelled with less than 4 weeks’ notice, we reserve the right to charge a cancellation fee at 15% of the agreed fee.

H. SWAT UK Certificate in Probate and Estate Administration

In 2014, the ICAEW became a supervisory body for the reserved legal work of probate and estate administration. Initially, only ICAEW members could apply for authorisation; this was opened up to range of other accountants and tax advisors in 2015. In order to be authorised, an individual must demonstrate that they have undergone appropriate training and passed a relevant assessment.

Any firm may apply to be accredited to carry out probate work by the ICAEW, provided a principal within a firm is an authorised individual and the firm can (and will) comply with the ICAEW Probate Regulations.

SWAT UK offers a 2 day training course followed by a 2 hour assessment leading to a Certificate in Probate and Estate Administration, which forms part of your application to ICAEW for authorisation.

Use of services

You are required to book to attend the 2 day course through SWAT UK in the normal way. Courses are currently held in London at various times throughout the year, and occasionally in other venues around the country. Alternatively you can book to attend 4 ½-day live webinars or their subsequent recordings. Details can be found on our website by clicking here

The subsequent assessment must be attended in person, and photo identification must be provided on arrival at the assessment. The assessment is normally held one week after the public courses at locations in London and Bristol, plus any other venues where courses have been held. 

Assessment

The assessment comprises a series of multiple-choice questions and other questions requiring short written answers, entered on the question paper. SWAT UK will administer the assessment, mark the papers and, where a pass mark has been achieved, will send by post, within four weeks of the assessment, a letter detailing the pass mark achieved, together with your Certificate. Unsuccessful candidates will be notified by letter within the same four week timescale.

The pass mark is 50%. Candidates whose mark is marginal will have their paper independently marked by a second marker.

SWAT UK will not enter into correspondence or discussions with individual candidates regarding their overall score or their answers to specific questions. Candidates are not entitled to see their marked paper.

Cost

An individual may choose to attend the course, but not take the assessment. However, an individual may not take the assessment unless they have attended either the course or the webinars. The course and the assessment must be paid for using cash or course credits. Affiliate discounts, training subscriptions and SWAT UK memberships cannot be used to book this course or the assessment. However, SWAT UK Full members are entitled to a 10% discount on the course price and the assessment. I. Student Training and Monitoring 

SWAT UK offers a full training and monitoring package for students studying for the ICAEW Chartered Accountancy qualification (ACA) or the Association of Chartered Certified Accountants qualification (ACCA) and working for member firms in the London and South East area. Exam tuition is generally provided by SWAT UK’s preferred supplier, Kaplan Financial (Kaplan), although we also have links to other training providers. SWAT UK provides its own practical training on face-to-face Student Workshops held in London. Exam training, SWAT UK practical training courses and work experience combined with home study are spread over the period of the training contract.

SWAT UK monitors the progress of each student individually to identify any problems at an early stage and to discuss them with the student, the training provider and, if necessary, with the employing firm.

Use of services

Your Student Training and Monitoring contract with SWAT UK is for a 12 month period running from 1 August to 31 July.

SWAT UK’s Student training and monitoring service is a 3 part process. Students are registered with us from the start of their training contract, and we work closely with the employing firm to map out a programme of study and client work to take them through their training and exams.

  • Tuition for the professional exams is normally provided by Kaplan, with whom we have negotiated favourable terms, though we can work with other training providers.  SWAT UK monitors their tutorial arrangements closely.
  • We provide face-to-face Student Workshops in London throughout the period of the training contract, to teach and improve practical skills at work.
  • We provide all administration related to the training, and a full monitoring service for each student to ensure that any problems are identified and dealt with at the earliest possible opportunity. We also provide counselling services in relation to the student’s studies, and access to an impartial person independent of their office to whom they can speak confidentially if necessary.

We work closely with the employing firm throughout the process.

We will write to you annually in the last two months of your contract to provide you with details of the costs for the forthcoming year and agree the students to be included in the contract, together with any amendments to our terms and conditions.

Your undertakings

You agree to work with SWAT UK to assist the training of your students in the following ways:

  • advise SWAT UK of the commencement date of each student, and the date that they leave your employment, if applicable;
  • advise us of any absence due to illness from courses run by either Kaplan or SWAT UK;
  • advise us of a student’s decision to defer or cancel tuition course modules or professional exams;
  • your training partner will meet with SWAT UK staff on an annual basis to prepare a SWAT UK course programme for your students to fit in with the work that they are undertaking within your office;
  • ensure your students attend their progress tests and mock exams, including the SWAT UK Saturday mock exams;
  • pay Kaplan’s tuition fees and course material fees promptly when they become due;
  • comply with your obligations as a training firm for ICAEW or ACCA.

Your Students’ undertakings

Your students enter into a training agreement with you at the start of their training, setting out what you expect from them during the term of their training. We expect your students to start their studies immediately and plan to work steadily and consistently over the whole period of their training. They should expect to study for at least 15-20 hours each week, in addition to their work within your firm. We expect them to attend all the courses they are booked on, both Kaplan’s and SWAT UK’s, to take their assessments and mock exams at the time that they are set, and to attend tutorial meetings when these are required. They are also responsible for ensuring that they book to attend the ICAEW exams at the appropriate time.

SWAT UK’s undertakings

  • SWAT UK deals with the overall administration relating to practical student training courses and makes your students’ course bookings directly with the exam tutors. We prepare computerised ‘Course Programmes’ for each student.
  • There is a dedicated SWAT UK structured exam course approach with Kaplan.
  • We are a major client of Kaplan and can ensure that our students get the best possible service while preparing for their examinations including class sizes and lecturers used. We have regular 6 monthly meetings with Kaplan, discussing Course structures, Tutor teams, class sizes etc.
  • We have an advantageous price arrangement with Kaplan for course fees which we pass on to our client firms. Tuition Fee Invoices are checked before being passed on to you. You are entitled to a further early payment discount in respect of Kaplan’s course fees.
  • We resolve any issues directly with the exam tutors, thus saving partner, manager and student administration time.
  • Our student counsellor will oversee each student’s studies and ensure satisfactory progress towards each examination. You will receive regular reports on each student’s progress. A member of SWAT UK will discuss reports with those students that are struggling and you will be involved only when it becomes absolutely necessary.
  • We liaise directly with ICAEW and ACCA regarding efficient implementation of changes.
  • If required, we can arrange for your students to attend ICAEW’s Professional Development (PD) forums as per your agreement with SWAT UK, for an additional fee.
  • We work closely with you, the employing firm, throughout your students’ training process.

Attendance on Student Training courses

SWAT UK’s Fees, refunds and payment terms

Just as there are 3 parts to our Student Training and Monitoring service, so this service is charged to you in 3 ways.

  • Tuition for the ICAEW (or ACCA) exams and for course material is invoiced to us by Kaplan. We check the invoices carefully before invoicing you with the charges. We have negotiated favourable rates with Kaplan, which are passed on to you. In addition, you can receive a further discount for early payment of their fees (but not course materials), which are paid directly to us.
  • Payment for our face-to-face Student Workshops in London is made directly to SWAT UK, and is charged according to the number of workshops attended. Payment may be made at the time of booking. Alternatively, you will probably find it more efficient to pay for these courses by means of a Firm-wide Training Subscription or by Course credits. For some clients we invoice for courses attended at the end of each month.
  • Monitoring fees for students are invoiced to you quarterly in advance, for payment within 30 days.

Our fees are plus VAT at the current rate.

SWAT UK reserves the right to suspend services in the event of default on any payments and to take appropriate action to collect any outstanding amounts.

Cancellation

Subject to SWAT UK’s right to suspend services, as above, notice of cancellation of a Training and Monitoring contract by either party must be given in writing no later than one month prior to the end of the current contract, i.e. by 30 June in any year.

Withdrawal of a student from a Training and Monitoring contract

Should a student leave your employment, you may withdraw him or her from the Training and Monitoring contract with immediate effect. You will be credited for any workshop and training fees that are unused.

SWAT UK reserves the right to withdraw support for a student who does not comply with the Student undertakings detailed above, or who has a history of failing exams. We will first raise our concerns with you, the training partner and the student before giving written notice of the withdrawal of our support.

SWAT UK provides consultancy services to its clients through compliance and file review days carried out as on-site support days; by means of electronic or postal reviews of your files; or for specific queries via our telephone helpline.

Our range of on-site compliance and file reviews can help to ensure you remain compliant with the latest regulations. Compliance and file review days can typically be used for the following types of review:

  • File Reviews – audit, accounts, tax. These may be Cold reviews (after the accounts or audit report has been signed) or Hot reviews (to identify any key areas that need to be addressed prior to signing the report).
  • Compliance Reviews – for a range of different standard and specialist areas, including audit and accountancy standards, practice assurance, CPD, client money regulations, investment business, anti-money laundering requirements, insolvency and probate.

Use of services

All SWAT UK’s Full and Reduced Members are allocated a number of on-site support days, based on the number of Trainable Individuals in the firm. Bespoke members can also purchase compliance and file review days, or a number of consultancy hours, as part of their package.

Allocated or purchased entitlement must be used within the membership period or they will be lost. Unused entitlements will only be carried forward into the following membership period in exceptional circumstances and at SWAT UK’s sole discretion.

All other clients can purchase consultancy on a daily, half-daily or hourly basis as and when they require it.

SWAT UK will only agree to do specific consultancy work for you following written or verbal instructions from a principal or authorised member of staff. We undertake that we will make no direct contact with any of your clients unless it is agreed in advance with you. Our contract will always be with your firm even if, by agreement, we deal directly with your client.

During our on-site reviews, we will endeavour to identify ways to help your practice run more efficiently, help to cut down on unnecessary time and costs, and therefore improve your profitability. 

All on-site reviews include a full debrief (Closing Meeting) upon completion, allowing us to share our findings with you directly, and with relevant members of staff if that is appropriate. In addition, following your review you will be provided with a comprehensive written report, detailing our findings as well as any action points and/or recommendations arising from the review, at no extra charge. The results of the review can also be used to assist in completing the firm’s relevant annual returns.

Booking details

All on-site consultancy, electronic and postal file reviews must be booked in advance. Call 0845 450 5555 to arrange a review for a time convenient to you and the consultant. We will do our utmost to meet your timescale but cannot guarantee to do so, particularly during busy periods. Please refer to Cancellation and notice periods below.

On receiving confirmation of your booking, you are required to email your agreement to the terms, including our payment terms, and the arrangements for the review. Before the review takes place, you are asked to complete and return the relevant checklists to assist our consultant. Please also ensure that the required files are available for review, and the appropriate members of staff available, when the consultant arrives.

SWAT UK is a regulated firm under the Money Laundering Regulations 2007 and is supervised by the ICAEW. We are required to undertake customer due diligence checks on all our clients for whom we carry out consultancy assignments. In the majority of cases we obtain the necessary information from the appropriate professional bodies’ membership directory. However, we will require you to provide us with information about the beneficial ownership of your firm. You will not receive the report from your consultancy assignment until we have this information.

SWAT UK’s fees

SWAT UK’s fees are designed to take account of the time necessary to complete the work. On-site compliance and file review days are charged at standard rates by the day or ½-day. There are separate rates for standard reviews, specialist reviews, and reviews which are considered “high-risk”. Before any work is carried out on such high-risk issues, you will be advised of this extra charge and your agreement obtained in writing.

Electronic and postal reviews are charged by the hour, and telephone queries in 15 minute units with a 30 minute minimum charge

Further costs may be incurred if work takes longer than expected or if follow-up work is required. Accommodation expenses and/or standard class travel or mileage at the current rate are charged in addition to our quoted fees.

Full and Reduced member firms receive an agreed number of on-site support days as part of their membership package. Consultancy requirements additional to those included in the package attract a members’ discount. There is no charge to members for travelling or accommodation expenses.

Similarly, Bespoke members are not charged travelling or accommodation expenses for on-site consultancy visits undertaken by SWAT UK personnel.

Payment Terms

SWAT UK will invoice your firm for all consultancy work, including any expenses, once the work has been completed. Our standard terms are for payment within 30 days of the date of invoice. We reserve the right to discontinue the provision of consultancy services where invoices have not been paid by their due date.

Charges additional to those included in a Full or Reduced Member package or a Bespoke package will be collected via the direct debit mandate held.

Notice and Cancellation periods

In the case of all reviews, you undertake wherever possible to give SWAT UK notice as follows of the review being required.

  • On-site cold file review: 4 weeks’ notice
  • On-site hot file review: 2 weeks’ notice
  • Electronic or Postal cold file review: 4 weeks’ notice
  • Electronic or Postal hot file review: 2 weeks’ notice

Late notice surcharge

If your request for a review is urgent and is required within 2 weeks, we reserve the right to levy the following surcharges:

  • £100 for less than 2 weeks’ notice
  • £200 for less than 1 weeks’ notice

If SWAT UK needs to cancel a consultancy visit, you will be notified of the cancellation at least 5 working days prior to the date of the visit, except in exceptional circumstances such as the illness of the consultant.

If Full, Reduced or Bespoke members cancel a confirmed visit with less than 2 working days’ notice, the support time will not be reallocated.

In other cases, if an arranged review is cancelled or rearranged with less than 5 working days’ notice, SWAT UK reserves the right to charge a cancellation fee of 50% of the agreed fee.

N.    Technical Query Helpline

General Conditions

SWAT UK’s Technical Query (TQ) helpline enables you to get practical answers to a range of questions across a number of areas, including:

  • Company law
  • Auditing
  • Practice assurance 
  • Financial reporting
  • Ethical matters
  • Anti money laundering matters
  • Investment Business regulatory issues
  • Specialist assignments including (but not exclusively) charities, pensions schemes or solicitors

Use of services

The Technical Query service is available Monday to Friday from 9:30a.m. to 12:30pm and 2:00p.m. until 5:00p.m.. When you phone our offices, our staff will log your query on to our system. They will forward your details to the practice consultant taking queries that day. The consultant will call you back. If your query is urgent, please either email technical support at tq@swat.co.uk, or inform the member of staff when you first call the office.

Having access to a comprehensive library enables the consultant to answer firms’ more complex technical queries. He or she will discuss the query with you and give advice over the telephone. Within 5 working days he/she will email you a written note that sets out the question asked and the answer given,  to provide you with a record of the consultation and reduce the possibility of misunderstanding.

In most cases, we respond on the same day to technical queries that can be answered within 30 minutes. However, as this is not always possible, we undertake to give an answer to all such queries received within one working day.

Where a technical query involves the review of accounts, leases, or other documents, or would otherwise be expected to take longer than 30 minutes, then we cannot undertake to answer this within one working day. The timescale and cost of dealing with such queries will be by agreement on a case by case basis.

SWAT UK’s undertakings

Cost of the service

SWAT UK’s fees will take account of the time necessary to complete the work.

Access to the TQ helpline is free to SWAT UK Full Members for queries that can be answered within 30 minutes, including research time, documenting the query and emailing the answer to you. Any time in excess of that is chargeable in 15 minute units as below.

Bespoke Members can purchase an agreed number of hours of TQ time and include it in their membership.

Members of the Money Laundering Reporting Officer Support Service receive, free of charge, 2 hours of TQ time on AML queries.

Any use of the TQ service in excess of time included within any membership, as above, will be invoiced at the rate applicable at the time of the query. All technical queries are charged in 15 minute units, with the minimum charge for any query being 30 minutes. The time charged includes the time necessary to research and document the query and email the answer to you. Invoices are raised at the end of each month.

Queries on issues that are regarded as “high risk” are charged at a higher rate. Before any work is done on such issues, the consultant will advise you of the extra charge and obtain your agreement in writing before proceeding. We will raise an invoice at the end of each month for any such additional work.

For all chargeable technical queries, an invoice will be rendered directly to your firm; responsibility for payment rests with the person who raised the query. Where we hold a direct debit mandate, payment will be collected on or immediately after the 1st or 15th day of the month. In accordance with the direct debit guarantee, we will provide at least 10 days’ notice prior to collection.

We reserve the right to discontinue the provision of consultancy services where invoices have not been paid by their due date.

The answers to Technical Queries are copyright to SWAT UK, but may be copied and/or circulated within your own firm (but not groups of firms). You may not circulate them to other firms or individuals, including the client to which the query relates , without SWAT UK's express written permission.

Use of Services

SWAT UK online manuals are available for purchase through a 12 month subscription service. The manuals include forms, checklists and letters online as downloadable Microsoft Word or Excel documents. The subscription allows access by everyone in your firm, and includes a licence to store and adapt these documents on your systems and/or to print and photocopy the forms and checklists for use only within your organisation.

Full and Reduced SWAT UK member firms receive a discount on the purchase of manuals and documentation. Bespoke members can include the purchase of manuals within their membership package. The AML Procedures Manual is included in the Money Laundering Reporting Officer Support Service.

Payment Terms

Unless included in a Bespoke membership package, payment for manuals and documentation is in advance.

Returns Policy for Online Manuals

If you have purchased an online manual from the SWAT UK website and you are unhappy with the product, you are eligible for a full refund up to 48 hours after access has been granted.

Access to the Website and Online Products

Whilst every endeavour is made to ensure access to the SWAT UK website is continuous, occasionally due to technical faults outside SWAT UK’s control, or necessary upgrades to improve the user experience, the website may be taken offline. In all circumstances SWAT UK aims to keep such downtime to a minimum and therefore will not issue refunds to any clients who need to access online manuals and courses they have purchased and are unable to do so, or who need to access their SWAT UK account and are unable to do so. 

Subscription Period and Agreement to Terms and Conditions

We will contact you annually in the last two months of your subscription to provide you with details of the costs for the forthcoming year and our current Terms and Conditions. Renewal of your subscription indicates confirmation of your agreement to our current Terms and Conditions for the next 12 months.

In the event of not renewing a subscription which provides access to a SWAT UK manual or documentation, you will immediately be denied access to that manual or documentation.

P.    Student Recruitment

SWAT UK recruits graduates seeking the ACA or ACCA qualification for a number of prestigious firms of Chartered and Certified Accountants based in London and the South East.

Use of services

SWAT UK will seek to provide you with graduate students in line with requirements for your desired intake(s). We recruit students for training contracts starting in August, September or January, depending on your requirements.

The agreement between us commences on 1 January each year and relates to intakes for August and September of that year and January of the following year. We will write to you annually in November to provide you with details of the costs for the forthcoming year and a copy of our current Terms and Conditions.

Your undertakings

You agree to provide us with your company profile and your ideal student profile, together with the number of vacancies you have to fill and the starting date(s), the qualification you train towards (i.e. ACA or ACCA) and your academic criteria. You also agree to provide us with a jpeg logo for inclusion on our website and a link to your own website for the purpose of maximising our marketing.

SWAT UK prides itself on only submitting candidates to you that match your requirements and who we think will be an asset to your firm. However, there is no obligation on you to employ any of the candidates that we send to you.

SWAT UK’s undertakings

We agree to provide you with candidates for 2nd interview or assessment days and potential placement. Our recruitment team will confirm candidates’ ID and qualifications, and screen, assess and interview them on your behalf. We will provide you with details of the candidates’ application, their test and assessment results, and our interview notes.

We recruit candidates by advertising extensively, including on university websites across the UK and by attending recruitment fairs. For each applicant we:

  • Check their application form to ensure minimum academic standards are met.
  • Assess their profile, looking for evidence of numeracy and literacy, initiative, problem solving, teamwork, time management and communication skills.
  • Invite them for a first interview and testing at our premises, during which we:
    • Use assessments to test their numeric and literacy skills, their ability to compose written information, to spell and whether they have a grasp of the personal qualities required;
    • Undertake a conversation-based interview to discuss the candidate’s experiences to date, to challenge their assumptions, and to assess their inter-personal skills.

Only candidates that pass these stages and match your company and student profile will be submitted to you for 2nd interview.

SWAT UK’s Fees, refunds and payment terms

There is no charge for registration to SWAT UK’s Student Recruitment service.

There is a fixed charge per student placed with you, which will be notified to you each year, in advance of the commencement of each year’s agreement. You will be invoiced for each student recruited on commencement of their first day at your firm.

If a student should leave your firm within 2 months of commencing employment, a proportion of the fee will be returned based on the length of time the student was at the firm, ie, 2/3 if they leave during the first month and 1/3 during the second month.

Our fees are plus VAT at the current rate.

In the event that we do not find candidate(s) for your vacancies, no fee will be incurred for work done.

If you withdraw a vacancy previously notified to us in advance of SWAT UK referring candidates to you for 2nd interview, there is no fee chargeable. However, once we have referred a candidate, we will charge a fee based on the work undertaken on your behalf with respect to that vacancy as follows:

  • For 1 candidate referred, the fee will be 25% of the full charge;
  • For 2 candidates referred, the fee will be 50% of the full charge;
  • For 3 candidates referred, the fee will be 75% of the full charge;
  • For 4 or more candidates referred, the full fee will be charged.

Cancellation

Notice of cancellation of the Student Recruitment agreement between us for the following year, by either party, must be given in writing no later than 15 December in any given year.

R.    Maintenance of your client record on the SWAT UK database 

Client firms have access to some of their client record information on the SWAT UK database. In particular, they can access the contact details of the principals and staff of their own firm.

Contacts may be allocated a series of roles within their own firm. Each firm should have one or more people assigned the role of Website Course Administrator. When a new firm is added to the database, the role of Website Course Administrator will be assigned to the first person to be registered as a contact. Website Course Administrator status allows the assigned person to book anyone in the firm on to a course, to add new individuals to our database and to amend the details of any of the individuals entered on the database. It is the responsibility of the Website Course Administrator to ensure that individuals’ details are correct.

When a new contact is added to a firm, whether by registering on the SWAT UK website themselves or added by a member of SWAT UK staff, they are automatically allocated the status of “Website Selfbooker”, which allows them to book their own courses. If their email address indicates that they are a member of a firm already registered with SWAT UK (e.g., their address is john.doe@firmname.co.uk) then the website will automatically generate an email to the Website Course Administrator requesting confirmation that they are indeed a member of that firm which is done by logging on to the website and selecting either “Approve” or “Reject”. The new Website Selfbooker may only book courses once that confirmation is logged on our database.

Once confirmed, when the Website Selfbooker books to attend one or more courses, their firm is committed to paying for those bookings. The bookings may be covered by a SWAT UK Membership or by a Training Subscription; if not, payment will need to be made by invoice or by using other entitlements such as course credits, unless payment is made by the Selfbooker at the time of booking. It is therefore the responsibility of the Website Course Administrator to delete the Website Selfbooker status if members of staff are not permitted to book themselves on courses.

All past and future course bookings for a firm are recorded on our database. Individuals can log in to see their bookings within any period they specify and export the data into Excel at the click of a button. S.    Commissions

In some circumstances, commissions or other benefits may become payable to us in respect of transactions with one of our preferred suppliers. This may result from an introduction by SWAT UK, or from a contact established through issuing marketing material on the preferred supplier’s behalf.

SWAT UK puts a significant amount of time and effort into developing relationships with preferred suppliers and, as a result, identifying products and services of benefit to its clients. Many of our preferred suppliers will pay us an introducer commission based on a percentage of the amount spent with them.

You consent to such commission or other benefits being retained by us without our being liable to account to you for any such amounts.

Example of commission arrangements:

If we introduce you to a company offering Professional Indemnity Insurance or a Fees Protection Plan, we will receive a commission, typically, in the range of 5% to 10% of the premium. If, for example, the premium is £4,000, we will receive between £200 and £400. For a premium of £20,000 we would receive between £1,000 and £2,000.

T.    Invoicing and Payment terms


Fees

SWAT UK’s fees for many of its services, membership and products are available on the SWAT UK website. However, some fees (e.g. courses) vary depending on the membership or discount scheme you may have purchased. Fees are quoted in advance of purchase on the website, or by our support staff if ordered by telephone. Disbursements may be charged, if appropriate for compliance visits. Our fees and terms of payment will normally be agreed in advance.

Invoicing when payment is due in advance

Payment for services, memberships and products supplied by SWAT UK is normally required in advance of delivery of the service or despatch of the goods.

An invoice for all supplies of its services, memberships and products, will be raised within 2 working days of either receiving your order or instructions or after the supply of the service, and will be sent to you by post or email.

If you do not accept that an invoiced fee is fair and reasonable you must notify us within 21 days of receipt, failing which you will be deemed to have accepted that payment is due.

Credit facilities

Credit facilities may be offered to clients who use the services of SWAT UK on a regular basis and have demonstrated a good credit history with us. Credit facilities are offered at SWAT UK’s sole discretion.

Invoicing when credit facilities are in place

An invoice (or a VAT Schedule, if appropriate) for all supplies of its services, memberships and products, will be raised within 2 working days of either receiving your order or instructions or after the supply of the service, and will be sent to you by post or email. Payment is due within 30 days of the date of the invoice.

Certain memberships may be paid by monthly Direct Debit over the 12 month period of the membership, with the 1st payment due on the 1st day of the commencement of the membership. On occasion we may collect the payment mid-month. You will be advised of the collection dates 10 working days in advance of your account being debited or as otherwise agreed.

If you have a query relating to an invoice, you must notify us within 21 days of receipt, failing which you will be deemed to have accepted that payment is due.

Despatch or delivery of services or goods

Services delivered via the SWAT UK website (e.g. online manuals) are available within 2 working days of order.

Goods such as stationery are despatched within 2 working days. Payment is not taken until the goods are available for despatch.

Methods of payment

Payment may be made by debit or credit card by phone to our office (0845 450 5555) or via our website when ordering services or products. SWAT UK does not make an additional charge for payments made by credit card. Alternatively payment may be made by BACS or by cheque.

Payment data held by SWAT UK

Debit and credit card details for payment made by telephone are held securely, are processed within 24 hours of receipt (or despatch of goods), and are then destroyed. When payment is made via the website, SWAT UK does not retain debit or credit card details on its computer systems. Instead, they are dealt with through a secure payment gateway.

Direct Debit details are held securely within the office whilst the Direct Debit is current. Once the Direct Debit is cancelled, or no longer required, the details are destroyed and removed from our computers.

Direct Debit Guarantee

The Direct Debit guarantee is offered by all Banks and Building Societies that take part in the Direct Debit Scheme. The efficiency and security of the Scheme is monitored and protected by your own Bank or Building Society.

If the amounts to be paid or the payment dates change SWAT UK will notify you 10 working days in advance of your account being debited or as otherwise agreed.

  • If an error is made by SWAT UK or your Bank or Building Society, you are guaranteed a full and immediate refund from your branch of the amount paid.
  • You can cancel a Direct Debit at any time by writing to your Bank or Building Society. Please also send a copy of your letter to SWAT UK.

Interest and discounts

We reserve the right to charge interest on overdue accounts at the current rate under the Late Payment of Commercial Debts (Interest) Act 1998.

SWAT UK does not offer discounts for early payment of invoices, except in relation to invoices raised for tuition fees payable to SWAT UK’s preferred supplier.

Non-payment of fees

If SWAT UK does not receive payment from you in accordance with the terms relating to the service that you have received, you will receive reminders from SWAT UK. If payment is still not forthcoming, we will refer the matter to our solicitors, and may commence legal proceedings. Associated legal costs may be passed on to you.

SWAT UK reserves the right to terminate our engagement and cease acting if payment of any fees billed is unduly delayed.

V.    Access to the Website and Online Products

Whilst every endeavour is made to ensure access to the SWAT UK website is continuous, occasionally (due to technical faults outside SWAT UK’s control, or necessary upgrades to improve the user experience) the website may be taken offline. In all circumstances, SWAT UK aims to keep such downtime to a minimum and therefore will not issue refunds to any clients who need to access online manuals and courses they have purchased, or who need to access their SWAT UK account and are unable to do so.

W.    Professional Indemnity Insurance

Eligible clients can apply to join the SWAT UK Professional Indemnity Insurance (PII) scheme run by Lockton. Compared with many other standard PII schemes, the Lockton scheme provides an enhanced programme of protection and efficiencies, interest free instalments and a simplified renewal process.

Use of service

The SWAT UK scheme was initially designed for SWAT UK member firms, all of whom had independent file reviews provided by us. Whilst the scheme is now open to a wider group of SWAT UK clients, it is still made available only to those clients with effective quality control procedures.

To be eligible to apply to join the scheme, a firm must subscribe to a minimum of two file review consultancy days per year. However, non-audit firms may be eligible if they subscribe to just one day per year, provided they have a history of at least three consecutive years of one or more file reviews per year. All Full and Reduced members firms are automatically eligible for application. Other firms will need to purchase the relevant number of consultancy days.

Applications to join the scheme must be submitted to Lockton, either directly or through the SWAT UK website where you can download a Proposal Form for completion.

Eligibility to apply does not guarantee your acceptance on the scheme by either Lockton or the underwriter.


 

Payment

Payment for Professional Indemnity Insurance is made directly to Lockton, under their Terms and Conditions, and can be made by interest free instalments.

Commission

SWAT UK receives commission from Lockton in respect of its PII scheme. Click here for details.

Renewals

Should your firm no longer be eligible to remain in the SWAT UK Professional Indemnity Insurance scheme, we will notify Lockton, who will endeavour to obtain alternative PII cover for you. Otherwise, Lockton will contact you in advance of your renewal date.

X.    DocSAFE

SWAT UK provides access to a secure client portal, DocSAFE, to allow the secure exchange of documents between us and our clients. If you require an Electronic File Review, then your documents can be uploaded to DocSAFE to allow our consultants to review your files. We may also send reports to you via this secure system.

Use of service

The SWAT UK team will enter you as a client on DocSAFE. You provide us with the name and email address of your staff who are authorised to access your documents on DocSAFE and we set them up as Assigned Users. They receive an email prompting them to set their own password.

Documents can only be uploaded and accessed by your Assigned Users, SWAT UK staff and our Sub-contractors. When submitting work for review, you control which documents are uploaded to DocSAFE and for removing them when they no longer need to be shared. However DocSAFE should not be used as a permanent back-up of your data and so we will remove any old documents from the system when a subsequent year’s information is uploaded, or at a later date when we consider there is no longer any reason for us to have access to the information.
   
If we send your review report to you using DocSAFE, the Assigned User(s) will receive an email confirming that the report is ready for download. Reports will be kept in DocSAFE for at least 1 year after the review but we reserve the right to remove the report at a later date, when we consider there is no longer any reason for the report to be stored in the portal. Please note that a copy of the report will be kept on our internal systems for at least 6 years from the date of the visit, should the firm need a further copy. 

If one of your Assigned Users leaves your firm, you are responsible for asking SWAT UK to remove them from DocSAFE.

Although intended primarily for the transfer of documents in advance of compliance work, you may use DocSAFE, which is more secure than email, for the secure transfer of any of your documents to SWAT UK.

If you use the portal, you undertake to keep the login details of the Assigned Users secure and not to let any other party use them. You also undertake to maintain your own systems’ security and therefore not to transmit any viruses, Trojans, keyloggers or other harmful code.

The portal provider is responsible for the storage, security and backup of the data held in the portal. This data is held in a server that is not at any of the firm’s premises but is in a secure location within the UK.

Y.    Regulatory information about SWAT UK

 

The following standard terms of business apply to all engagements accepted by SWAT UK Limited. All work carried out is subject to these terms except where changes are expressly agreed in writing.

Professional indemnity insurance

In accordance with the disclosure requirements of the Provision of Services Regulations 2009, our professional indemnity insurer is Axis Specialty Europe SE, of Mount Herbert Court, 34 Upper Mount Street, Dublin 2, Dublin,  D02 FT72. The territorial coverage is worldwide.

Client monies

SWAT UK does not hold client money.

Investment services

If, during the provision of professional services to you, you need advice on investments, we may have to refer you to someone who is authorised by the Financial Conduct Authority, as we are not. In particular we may refer you to Lockton as part of our Professional Indemnity Insurance scheme.

Fees

Our fees and terms of payment will be agreed in advance.

Invoices are payable in full (including disbursements) in accordance with the terms set out on the invoice. If you do not accept that an invoiced fee is fair and reasonable then you must notify us within 21 days of receipt, failing which you will be deemed to have accepted that payment is due.

Retention of and access to records

During the course of our work for you, we may receive documents, records and other information from you in either electronic or paper form. We undertake to return any original paper documents, other than correspondence sent for our attention, within a month of the assignment being completed. Any copies of electronic working papers provided to us will be deleted from our secure portal under the terms set out under X DocSAFE.

Whilst certain documents, records and other information may legally belong to you, unless you tell us not to we intend to destroy any such information that we store, in either electronic or paper form, which is more than seven years old, other than information which we consider to be of continuing significance. If you require retention or return of any documents, records and other information, you must notify us of that fact in writing.

Conflicts of interest and independence

We reserve the right during our engagement with you to deliver services to other clients whose interests might compete with yours or are or may be adverse to yours, but only in accordance with our Confidentiality policy, as below. We confirm that we will notify you immediately should we become aware of any conflict of interest involving us and affecting you unless we are unable to do so because of our confidentiality obligations. We have safeguards that can be implemented to protect the interests of different clients if a conflict arises. Where conflicts are identified which cannot be managed in a way that protects your interests then we regret that we will be unable to provide further services.

If a conflict of interest should arise, either between two or more of our clients or in the provision of multiple services to a single client, we will take such steps as are necessary to deal with the conflict. In resolving the conflict, we will be guided by the Code of Ethics of the Institute of Chartered Accountants in England and Wales.

Confidentiality

We confirm that, where you give us confidential information, we shall at all times keep it confidential, except as required by law or as provided for in regulatory, ethical or other professional statements relevant to our engagement.

We may, on occasions, subcontract work on your affairs to other professionals. The subcontractors will be bound by our client confidentiality terms.

Improving our service or dealing with problems

If at any time you would like to discuss with us how our service to you could be improved, you are dissatisfied with the service you are receiving or you have questions or complaints about any of our services or products then please let us know by contacting our support team as above in the first instance.

If they are unable to resolve the issue then please telephone the Managing Director, Adrian Gibbons, or the Training Director, David Norris also on 0845 450 5555.

We undertake to look carefully and promptly into any complaint and do all we can to explain the position to you. If we do not answer your complaint to your satisfaction, you may of course take up the matter with the Institute of Chartered Accountants in England and Wales.

In order for us to provide you with a high quality service on an ongoing basis it is essential that you: provide us with relevant records and information when requested; reply to correspondence in a timely manner; and otherwise follow the terms of the agreement between us set out in this Standard Terms of Business and other Terms and Conditions, and associated engagement letter or contract. We therefore reserve the right to cancel the engagement between us with immediate effect in the event of:

  • Your insolvency, bankruptcy or other arrangement being reached with creditors;
  • Your failure to pay our fees by the due dates;
  • You being in breach of your obligations, where this is not corrected within 30 days of being asked to do so.

In addition, the engagement between us may be terminated for any reason in accordance with the terms of the appropriate contract or engagement letter.

Applicable law

The engagement between us is governed by, and construed in accordance with, English law. The Courts of England will have exclusive jurisdiction in relation to any claim, dispute or difference arising. Each party irrevocably waives any right it may have to object to any action being brought in those courts, to claim that the action has been brought in an inappropriate forum, or to claim that those courts do not have jurisdiction.

If any provision in this Standard Terms of Business or any associated engagement letter or contract, or its application, are found to be invalid, illegal or otherwise unenforceable in any respect and for whatever reason, then that provision will be deemed not to form part of the contract. The validity, legality or enforceability of any other provisions shall not in any way be affected or impaired.

In the event of any conflict between these Terms of Business and any associated engagement letter or contract, the relevant provision in the engagement letter or contract will take precedence.

Changes in the law

We will not accept responsibility if you act on advice previously given by us without first confirming with us that the advice is still valid in light of any change in the law or your circumstances.

We will accept no liability for losses arising from changes in the law or the interpretation thereof that occur after the date on which the advice is given.

Internet communication

Unless you instruct us otherwise we may, where appropriate, communicate with you and with third parties via email or by other electronic means. However, internet communications are capable of data corruption and therefore we do not accept any responsibility for changes made to such communications after their despatch. It may therefore be inappropriate to rely on advice contained in an e-mail without obtaining written confirmation of it. We do not accept responsibility for any errors or problems that may arise through the use of internet communication and all risks connected with sending commercially sensitive information relating to your business are borne by you. If you do not agree to accept this risk, you should notify us in writing that e-mail is not an acceptable means of communication.

To reduce this risk, SWAT UK has a secure client portal, DocSAFE, for the secure exchange of documents. If you would like to use this as your preferred method of transferring important documents with us, please let us know.

Whilst SWAT UK maintains strong anti-virus protection, it is the responsibility of the recipient to carry out a virus check on any documents and emails received.

Data Protection Act 1998

To enable us to discharge the services agreed under our engagement, and for other related purposes including updating and enhancing client records, analysis for management purposes and statutory returns, crime prevention and legal and regulatory compliance, we may obtain, use, process and disclose personal data about you, your business, company or partnership and/or its officers and employees. Contracts (Rights of Third Parties) Act 1999

Persons who are not party to the contract between us shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any aspect of our contract or Terms and Conditions. This clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.

The advice we give you is for your sole use and is confidential to you and will not constitute advice to any third party to whom you may communicate it. We accept no responsibility to third parties for any aspect of our professional services or work that is made available to them.

The Proceeds of Crime Act 2002 and the Money Laundering Regulations 2007

In common with all accountancy and legal practices, we are required by the Proceeds of Crime Act 2002 and the Money Laundering Regulations 2007 to:

  • Obtain evidence of identification of clients and beneficial owners of clients for whom we undertake a regulated activity, such as a consultancy visit;
  • Maintain appropriate records of the identification obtained and of the work undertaken for clients for whom we undertake a regulated activity.

In addition, we are required to report in accordance with the relevant legislation and regulations.

We have a duty under Section 330 of the Proceeds of Crime Act 2002 to report to the National Crime Agency (NCA) if we know, or have reasonable cause to suspect, that another person is involved in money laundering. Failure on our part to make a report where we have knowledge or reasonable grounds for suspicion would constitute a criminal offence.

The offence of money laundering is defined by Section 340(11) of the Proceeds of Crime Act and includes concealing, converting, using or possessing the benefits of any activity that constitutes a criminal offence in the UK. It also includes involvement in any arrangement that facilitates the acquisition, retention, use or control of such a benefit.

This definition is very wide and would include such crimes as:

  • Deliberate tax evasion;
  • Deliberate failure to inform the tax authorities of known underpayments or excessive repayments;
  • Fraudulent claiming of benefits or grants; or
  • Obtaining a contract through bribery.

Clearly this list is by no means exhaustive.

Except where the information is received in privileged circumstances, we are obliged by law to report any instances of money laundering to NCA without your knowledge or consent. In consequence, neither the firm’s directors nor staff may enter into any correspondence or discussions with you regarding such matters.

We are not required to undertake work for the sole purpose of identifying suspicions of money laundering. We shall fulfil our obligations under the Proceeds of Crime Act 2002 in accordance with the guidance published by the Consultative Committee of Accountancy Bodies. 

We may use electronic checks as part of our identification procedures. We confirm that these electronic checks are not credit checks.

General limitation of liability

In this section the terms “you” and “your” refer to the firm that has entered into any contract for services with SWAT UK. 

Nothing in this agreement shall limit or exclude SWAT UK’s liability for:

  • death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;
  • fraud or fraudulent misrepresentation; or
  • breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).

We will provide our services with reasonable care and skill. However, no liability is accepted for advice given to you verbally that is not subsequently confirmed in writing. If you wish to place reliance on advice you should request confirmation of that advice in writing.

Our consultancy reports are prepared solely for the confidential use of the firm to which they are addressed and solely for the purpose of assisting that firm in meeting its obligations under the applicable regulations. Reports are released to you on the basis that they shall not be copied, referred to or disclosed, in whole or in part save as set out below in respect of your regulator, without our prior written consent. Without assuming or accepting any responsibility or liability in respect of the use of any report by any party other than you, we acknowledge that you may be required by law to disclose a report to a regulator demonstrating a statutory right to see it.

By using our services you agree that you will not bring any claim against any of our directors or staff personally in connection with the services we provide to you.

SWAT UK shall not be liable, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this agreement for:

  • loss of profits;
  • loss of sales or business;
  • loss of agreements or contracts;
  • loss of anticipated savings;
  • loss of or damage to goodwill;
  • loss of use or corruption of software, data or information;
  • any indirect or consequential loss.

Subject to the paragraph above, by using our services you agree that the maximum aggregate liability to you of SWAT UK (including any other company in its group from time to time), as set out below, applies to any and all claims made on any basis arising under or in connection with your agreement with SWAT UK and therefore includes any claims in respect of breaches of contract, tort (including negligence), statutory duty or otherwise and shall also include interest and all legal costs and disbursements.

In respect of technical queries, if the time taken to deal with your query (as indicated on the emailed response) is:

  • 15 minutes, then the limitation of liability is £10,000
  • 30 minutes, then the limitation of liability is £20,000
  • 45 minutes, then the limitation of liability is £30,000
  • 1 hour or more then the limitation of liability is £40,000

If the written response does not specify the time taken then for the purpose of this limitation of liability only it is deemed to be one hour or more.

In respect of consultancy visits, the limitations are:

  • Half-day visit, then the limitation of liability is £50,000
  • One-day visit, then the limitation of liability is £100,000
  • Two or more days’ visit, then the limitation of liability is £200,000

In respect of any other goods or services supplied to you (outside of technical queries and consultancy visits) then the limitation of liability is £200,000 per claim.

If you believe that the particular circumstances of a technical query or consultancy visit is such that the limits set out above are unreasonable then please notify us in advance for consultancy visits or within two working days of receiving the written response to a technical query. We will consider, acting reasonably, a revised limitation of liability in respect of that work. This would also alert us to the need to implement additional procedures to mitigate the increased risk, which may result in an increase in the fee charged. 

A person who is not party to this agreement shall not have any rights to enforce its terms. 

The terms implied by section 3 to 5 of the Supply of Goods and Services Act 1982 are, the fullest extent permitted by law, excluded from this agreement. 

Use of SWAT UK’s name in statements or documents issued by you

Draft or interim work or oral advice

In the course of our providing services to you, we may provide advice or reports or other work in draft or interim form or orally. However, final written work will always prevail over any draft, interim or oral statements. Where you request it, we will provide you with written confirmation of matters stated orally.
